As an authorized affiliate (Affiliate) of Syklo, you agree to abide by the terms and conditions contained in this agreement (Agreement). Please read the entire Agreement carefully before registering and promoting Syklo as an Affiliate.
Your participation in the program is solely for the purpose of lawfully advertising our website in order to receive a commission on memberships and products purchased by individuals referred to Syklo by your own website or personal referrals.
By registering for the Syklo Affiliate Program (the Program), you indicate your acceptance of this Agreement and its terms and conditions.
Approval or rejection of application
We reserve the right to approve or reject ANY affiliate program application at our sole and absolute discretion. You will have no legal recourse against us if your Affiliate Program application is rejected.
Commissions
Commissions will be paid once a month. For an affiliate to receive commission, the referred account must remain active for at least 31 days.
You cannot refer yourself and you will not receive commission on your own accounts.
Payments will only be sent for transactions that have been successfully completed. Transactions giving rise to retrocessions or refunds will not be paid.
End of contract
Your membership and affiliate status in the program may be suspended or terminated for any of the following reasons:
- Inappropriate advertising (false claims, misleading hyperlinks, etc.).
- spamming (mass e-mailing, newsgroup postings, etc.)
- Advertising on sites containing or promoting illegal activities.
- Failure to disclose the affiliate relationship for any promotion qualifying for approval under existing guidelines and regulations or any applicable national law.
- Infringement of intellectual property rights. Syklo reserves the right to require license agreements from those using Syklo trademarks in order to protect its intellectual property rights.
- Offer discounts, coupons or any other form of promised retrocession of your affiliate commission as an incentive. However, adding bonuses or bundling other products with Syklo is acceptable.
- Self-recommendations, fraudulent transactions, suspected affiliate fraud.
In addition to the foregoing, Syklo reserves the right to terminate any Affiliate account at any time, for any breach of this Agreement or without cause.
Affiliate links
You can use graphic and text links on your website and in your e-mails. You can also advertise the Syklo site in online and offline classified ads, magazines and newspapers.
You may use the illustrations and texts we provide or create your own, provided they are deemed appropriate in accordance with the Terms and do not violate the provisions of the “Termination” section.
Coupon and bargain sites
Syklo occasionally offers coupons to some of its affiliates and newsletter subscribers. If you are not pre-approved / if you do not receive a branded coupon, you are not authorized to promote the coupon. Below are the conditions that apply to any affiliate who plans to promote our products as part of an offer or coupon:
- Affiliates may not use misleading text on affiliate links, buttons or images to suggest that anything not currently permitted is about the affiliate in question.
- Affiliates may not bid on Syklo coupons, Syklo discounts or other phrases implying that coupons are available.
- Affiliates may not generate pop-ups, pop-unders, iframes, frames or other visible or invisible actions that create affiliate cookies, unless the user has expressed a clear and explicit interest in activating a specific savings by clicking on a clearly identified link, button or image for that particular coupon or offer. Your link must send the visitor to the merchant’s site.
- The user must be able to see information and details about coupons, offers and savings before an affiliate cookie is set (i.e. “click here to see coupons and open a window to the merchant’s site” is NOT allowed).
- Affiliated sites must not include the words “Click for (or to see) an offer/coupon” or any other variant, when there are no coupons or offers available and the click opens the merchant’s site or sets a cookie. Affiliates with such text on their homepage will be immediately excluded from the program.
Pay-per-click (PPC) advertising policy
PPC auctions are NOT permitted without prior written authorization.
Liability
Syklo will not be liable for indirect or incidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any result of intent to harm the Program and/or our website(s).
We make no express or implied warranties regarding the program and/or memberships or products sold by Syklo. We do not represent that the operation of the program and/or our website(s) will be error-free and we will not be liable for any interruptions or errors.
Duration of agreement
The term of this agreement begins upon your acceptance into the program and ends when your affiliate account is terminated.
We may modify the terms and conditions of this agreement at any time. If any change to the terms and conditions of this agreement is unacceptable to you, your only choice is to terminate your Affiliate account. By continuing to participate in the program, you agree to any changes.
Compensation
Affiliate agrees to indemnify and hold harmless Syklo and its affiliates and subsidiaries, officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by Syklo to transmit and distribute Materials, from and against any and all liability, damages, fines, judgments, claims, costs, losses and expenses (including reasonable legal fees and costs) arising out of or in connection with any claim incurred under this Agreement due to Affiliate’s negligence, misrepresentation, failure to disclose or willful misconduct.
Effectiveness of the electronic signature
This agreement is an electronic contract that defines the legally binding terms of your participation in Syklo’s affiliate program. You indicate your acceptance of this Agreement and all terms and conditions contained or referenced herein by completing Syklo’s application process. This action creates an electronic signature that has the same legal force and effect as a handwritten signature.
